These Terms of Service ("Terms") govern your use of the DemerseTech website (demersetech.com), our free AI-powered tools, and any consulting or automation services provided by DemerseTech, operated by Stuart DeMerse ("we," "us," or "our") in Midlothian, Texas. By using our website or services, you agree to these Terms.

1. Use of Our Free Tools

DemerseTech offers several free AI-powered tools for small business owners. By using these tools, you agree to the following:

• You will not use our tools for any unlawful, harmful, or abusive purpose
• You will not attempt to reverse engineer, copy, or redistribute our tools or their outputs for commercial resale
• You understand that AI-generated outputs are provided as a starting point and may require your review and editing before use
• We make no guarantee that tool outputs are accurate, complete, or suitable for any specific purpose
• We reserve the right to modify, suspend, or discontinue any tool at any time without notice

2. Consulting Services — 30-Day AI Build

The following terms apply to our paid 30-Day AI Build consulting engagement:

• Scope: Each engagement includes a workflow audit, three custom automations, progress updates, full walkthroughs, and two weeks of post-delivery email support. Any work beyond this scope requires a separate written agreement and may be subject to additional fees.
• Payment: The flat rate fee of $3,995 USD is due in full prior to the commencement of work unless otherwise agreed in writing.
• Refunds: Due to the nature of custom consulting and automation work, all payments are non-refundable once work has commenced. If work has not yet commenced, a full refund will be issued upon written request within 48 hours of payment.
• Deliverables: We will make every reasonable effort to deliver agreed automations within the 30-day timeframe. Delays caused by client non-responsiveness, lack of access to required systems, or scope changes may extend the timeline.
• Client responsibilities: You agree to provide timely access to the tools, platforms, and information necessary for us to complete the work. Failure to do so may delay or limit our ability to deliver.
• Intellectual property: Upon full payment, you own the automations and workflows we build for your business. We retain the right to reference the engagement type (not your specific business details) in our portfolio and marketing materials.

3. Custom Project Engagements

For projects outside the standard 30-Day AI Build package, terms including scope, timeline, payment schedule, and deliverables will be agreed upon in writing prior to commencement. These Terms apply to custom engagements except where superseded by a separate written agreement.

4. Disclaimer of Warranties

Our website, tools, and services are provided "as is" without warranty of any kind, express or implied. We do not warrant that our tools will be error-free, uninterrupted, or that the results obtained from their use will be accurate or reliable. Your use of our tools and services is at your sole risk.

5. Limitation of Liability

To the fullest extent permitted by law, DemerseTech and Stuart DeMerse shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our website, tools, or services — including but not limited to loss of profits, data, or business opportunities — even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim.

6. Indemnification

You agree to indemnify and hold harmless DemerseTech and Stuart DeMerse from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our tools or services, your violation of these Terms, or your violation of any third-party rights.

7. Third-Party Services

Our tools and services rely on third-party platforms including Anthropic, Stripe, GitHub, and Cloudflare. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of these services is subject to their respective terms and policies.

8. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Ellis County, Texas.

9. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
